Summary

These terms are a contract between you and Sentinellis. They cover how you can use the service, how we handle payments and cancellations, what we can and can't be held responsible for, and — most importantly — the fact that Sentinellis provides information, not financial advice.

1. The service provider

The Sentinellis service ("Sentinellis", "we", "us") is operated by a Romanian limited liability company (SRL), registered with the Romanian Trade Register. Our main contact address is contact@sentinellis.com.

2. Eligibility

• You must be at least 16 years old.
• You must have the legal capacity to enter into a binding contract in your jurisdiction.
• You must not be subject to sanctions that would prohibit us from serving you.
• You must use one account per person (no credential sharing) — B2B seats are scoped individually.

3. Your account

You are responsible for keeping your credentials secure and for all activity under your account. If you suspect unauthorized access, change your password immediately and notify us. We are not liable for losses resulting from compromised credentials that you did not report in reasonable time.

We may suspend or terminate accounts that violate these terms, attempt to bypass quotas, scrape the platform, resell reports, or cause harm to other users or to our infrastructure.

4. What the service does (and does not) do

Sentinellis aggregates publicly available information about companies — financials, news, filings, leadership — and uses AI to organize and summarize it in plain English with source citations.

The service is not:

• A broker, financial advisor, investment advisor, or securities intermediary.
• A source of personalized investment recommendations.
• A real-time market data feed.
• A substitute for your own due diligence or professional advice.

6. Data accuracy and availability

We make reasonable efforts to use reliable upstream sources (Yahoo Finance, NewsData.io, Google News, SEC EDGAR, etc.) but we do not guarantee accuracy, completeness, or timeliness. Reports may contain errors inherited from upstream data or from the AI synthesis layer. We flag incomplete reports with a confidence score.

The service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or fully secure operation. Planned maintenance, third-party outages, or force majeure events may cause downtime.

7. Subscriptions and billing

Plans and pricing

Current plans, prices, and features are listed on the Pricing page. Prices are displayed exclusive of VAT; VAT is added at checkout where required by law. Prices are in Euros (EUR).

Renewal and cancellation

Paid plans renew automatically at the end of each billing period (monthly or annual) unless cancelled. You can cancel at any time from the Customer Portal ("Manage Subscription") — access continues until the end of the paid period, and no further charges are made.

Price changes

We may change pricing for future billing periods with at least 30 days' notice by email. Existing billing periods are unaffected. If you do not agree to the new price, cancel before the next renewal.

Refunds

Refund eligibility is governed by our Refund Policy, which includes EU 14-day withdrawal rights and specific terms for one-time add-ons and annual plans.

Payment processor

Payments are processed by Stripe. Your card data is handled by Stripe under its own terms; we do not see or store card numbers.

8. Acceptable use

You agree not to:

• Scrape, crawl, or mass-download reports outside of documented APIs (B2B tiers).
• Bypass or attempt to bypass quotas, rate limits, or access controls.
• Resell, sublicense, or redistribute reports as your own product without a B2B licence.
• Reverse engineer, decompile, or attempt to extract source code from the service.
• Use the service to defame, harass, or target specific individuals.
• Upload malware, run denial-of-service attacks, or probe for vulnerabilities without written permission.
• Violate applicable laws, including securities laws, market-manipulation rules, and sanctions.

Violations may result in immediate account suspension, termination, and — where appropriate — referral to authorities. We may pursue damages for abusive use that harms the service.

9. Intellectual property

The Sentinellis name, logo, website, software, and design system are our property or licensed to us. You may not reproduce, distribute, or create derivative works of these elements without our written permission.

Reports generated through the service are made available to you for your personal or internal business use under the plan you subscribed to. You may share individual reports via our built-in share links (which you control and can revoke). Mass export or commercial redistribution requires a B2B licence.

The underlying facts in reports come from third-party public sources and are not our property. Our contribution is the aggregation, synthesis, structure, and citations.

10. Shared report links

Sentinellis lets you generate public share links for reports. When you create a link, the report becomes readable by anyone with the link (no login required). You can revoke a link at any time from the report view. By sharing, you confirm that doing so does not violate any agreement you have with a third party.

11. Third-party services

The service relies on third-party providers (listed in our Privacy Policy). We are not responsible for outages, data errors, or policy changes by these providers, but we will do our best to route around problems and keep the service running.

12. Limitation of liability

To the fullest extent permitted by law, Sentinellis and its founders, employees, and agents will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Lost profits, lost savings, lost investment opportunity, or lost data.
• Damages arising from reliance on any information provided in a report.

Our total liability to you for any claim arising from the service is capped at the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) €100.

Nothing in these terms excludes or limits liability that cannot be excluded under mandatory law, including liability for fraud, gross negligence, death or personal injury caused by our negligence, or EU consumer rights.

13. Indemnification

You agree to indemnify and hold Sentinellis harmless from any third-party claim arising from (a) your use of the service in violation of these terms, (b) your violation of any law or third-party right, or (c) content you share publicly via share links.

14. Termination

You may close your account at any time from account settings or by emailing us. We may suspend or terminate your account with notice for breach of these terms, or immediately for serious breaches (fraud, abuse, illegality). On termination, your right to use the service ends and we delete your data according to the retention schedule in the Privacy Policy.

15. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including internet outages, third-party provider failures, natural disasters, war, cyberattacks, or government action.

16. Consumers and B2B

If you are a consumer residing in the EU, nothing in these terms limits the mandatory rights you have under your local consumer protection laws, including the right of withdrawal (see Refund Policy) and the right to a conforming service.

B2B customers (B2B Starter / Growth / Scale plans, or custom contracts) are not covered by EU consumer protection rules. B2B terms may be set in a separate written agreement; where no separate agreement exists, these terms apply with the limitation of liability reduced to the amount paid in the prior 12 months.

17. Governing law and disputes

These terms are governed by the laws of Romania, without regard to conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the competent courts of Romania, except that EU consumers retain the right to bring proceedings in the jurisdiction of their residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform for out-of-court settlement.

18. Changes to these terms

We may update these terms as the product and regulations evolve. Material changes will be announced at the top of this page and, where appropriate, emailed to registered users. Your continued use after a change constitutes acceptance. If you do not agree, cancel your subscription before the change takes effect.

19. Miscellaneous

• Entire agreement — these terms, the Privacy Policy, and the Refund Policy form the full agreement between you and us.
• Severability — if any clause is unenforceable, the rest remain in effect.
• No waiver — a failure to enforce a clause is not a waiver of the right to enforce it later.
• Assignment — you may not assign your account; we may assign these terms in the event of a corporate restructuring or sale.
